These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Conecxt ("Company," "we," "us," or "our") governing your access to and use of our customer engagement platform, including our website, applications, WhatsApp Business API integration, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Conecxt provides a multi-channel customer engagement platform that enables businesses to:

  • Manage customer communications across multiple channels including WhatsApp Business API, SMS, email, and web chat
  • Automate customer interactions using AI-powered tools
  • Track and analyze customer engagement metrics
  • Integrate with third-party business systems
  • Collaborate with team members on customer support

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

4. WhatsApp Business API Terms

Your use of WhatsApp Business API through our Service is subject to:

4.1 Meta Compliance

  • You must comply with Meta's WhatsApp Business Messaging Policy
  • You must obtain explicit opt-in consent before contacting users via WhatsApp
  • You must maintain your own published privacy policy
  • You are responsible for securing all necessary notices, permissions, and consents

4.2 Prohibited Content

You may not use WhatsApp Business API to send:

  • Spam or unsolicited messages
  • Misleading, fraudulent, or deceptive content
  • Illegal content or content promoting illegal activities
  • Malicious software or links
  • Content violating intellectual property rights
  • Harassing, threatening, or abusive content

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful business purposes in compliance with all applicable laws and regulations.

5.2 Prohibited Activities

You agree not to:

  • Violate any laws, regulations, or third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use automated systems (bots, scrapers) without our prior written consent
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices or labels
  • Use the Service to transmit viruses, malware, or harmful code

6. Subscription and Payment Terms

6.1 Pricing and Billing

Subscription fees are billed in advance on a monthly or annual basis. You agree to pay all fees for the subscription plan you select. Pricing is subject to change with 30 days' notice.

6.2 Payment Methods

You must provide valid payment information. You authorize us to charge your payment method for all fees incurred.

6.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting support.

6.4 Refund Policy

Refunds are provided at our discretion. Monthly subscriptions are generally non-refundable. Annual subscriptions may be eligible for pro-rated refunds within 30 days of initial purchase.

7. Intellectual Property Rights

The Service and its original content, features, functionality, and all intellectual property rights therein are owned by Conecxt and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display your User Content solely to provide the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide become our property, and we may use them without restriction or compensation.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with GDPR and other applicable data protection laws.

You are responsible for ensuring your use of the Service complies with all applicable data protection laws, including obtaining necessary consents from your customers.

9. Third-Party Services and Integrations

The Service may integrate with third-party services (e.g., WhatsApp, payment processors, analytics tools). Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services or their availability, security, or performance.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Defects will be corrected
  • The Service will meet your requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONECXT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or corruption of data
  • Business interruption
  • Cost of substitute services

Our total liability for any claims arising from these Terms or use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Conecxt and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your User Content

13. Termination

13.2 Termination by Us

We may suspend or terminate your account immediately without notice if you:

  • Engage in fraudulent or illegal activities
  • Fail to pay fees when due
  • Engage in conduct that harms the Service or other users

Upon termination, your access to the Service will cease, and we may delete your account and User Content. Provisions that should survive termination will remain in effect, including intellectual property rights, disclaimers, and limitations of liability.
